We represented the sellers in the sale of a nationally recognized franchise business. The transaction involved SBA financing and required navigating franchisor consent requirements, a commercial landlord who declined to release the sellers from their existing personal lease guaranty, and coordination of post-closing arrangements between the parties.
How We Helped
We structured and negotiated the transaction from letter of intent through closing, managed all due diligence coordination, and negotiated the Asset Purchase Agreement and all ancillary documents. When the landlord declined to release the sellers from their personal guaranty, we negotiated a structure that allowed the deal to close on the sellers’ timeline — securing buyer indemnification of the sellers for their continuing guaranty exposure and arranging a landlord escrow deposit as a condition of closing. We also negotiated a separate post-closing arrangement protecting the sellers’ property interests going forward.
