We represented the sellers in the asset sale of a Florida business to a national strategic acquirer, in a multi-property transaction involving real estate, employee transitions, UCC lien clearance, and commercial sub-tenant logistics.
How We Helped
We managed the transaction from term sheet through closing, negotiating the Asset Purchase Agreement and ancillary documents against the buyer’s outside counsel, coordinating multi-party due diligence. We also identified a material discrepancy between the stated debt payoff obligations in the purchase agreement and the actual loan documents — catching an overstatement in the sellers’ payoff exposure that, left unaddressed, would have reduced the sellers’ net proceeds at closing.
